Welcome to Layra ERP (“we,” “us,” “our”). These Terms and Conditions (“Terms”) govern your use of our ERP/CRM software, mobile applications, and related services (“Services”). By accessing or using our Services, you agree to comply with and be bound by these Terms.

If you do not agree with these Terms, please do not use our Services.


1. Definitions

  • “Client,” “You,” or “User” refers to the individual or organization using our ERP/CRM software or purchasing our enterprise license.

  • “Services” refers to our ERP/CRM platform, mobile apps, APIs, documentation, and any related software or support.

  • “Subion” refers to the SaaS-based model that provides time-limited access to our Services.

  • “Enterprise License” refers to the self-hosted version deployed on the client’s infrastructure.


2. Acceptance of Terms

By using our Services, creating an account, or subscribing to our plan, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.
If you are entering into this agreement on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.


3. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the ERP/CRM software solely for your internal business operations, subject to compliance with these Terms.

You may not:

  • Copy, modify, or distribute the software without written consent

  • Reverse engineer, decompile, or attempt to derive the source code

  • Use the software for any illegal or unauthorized purpose

  • Rent, lease, or sublicense the software to third parties


4. SaaS (Cloud) Subion Terms

  • Access to the ERP/CRM system is provided via a subion model.

  • Subion fees are billed monthly or annually, as per your plan.

  • Your subion automatically renews unless canceled prior to the renewal date.

  • We reserve the right to suspend or terminate access if payments are not received on time.


5. Enterprise License Terms

For enterprise deployments:

  • You may host the ERP/CRM software on your own servers.

  • You are responsible for server security, backups, and access management.

  • We will provide installation, training, and limited support as per your service agreement.

  • Software updates or version upgrades may require additional fees.


6. Payment and Refund Policy

  • All prices are listed in [currency, e.g., USD/INR].

  • Payments must be made in advance via accepted payment methods.

  • We do not offer refunds for partially used subion periods.

  • Enterprise customers may be eligible for milestone-based payments as per project agreement.


7. User Responsibilities

You agree to:

  • Provide accurate and complete registration information

  • Maintain confidentiality of login credentials

  • Comply with all applicable local, state, national, and international laws

  • Avoid uploading any unlawful, harmful, or infringing content

You are responsible for all activities occurring under your account.


8. Data Ownership and Privacy

  • You retain ownership of all business and customer data you input into the system.

  • We process this data solely to provide Services in accordance with our Privacy Policy.

  • We may collect system usage analytics to improve product performance, but we do not sell or share customer data with third parties.


9. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of business, including code, pricing, business data, and technical documentation.
This clause survives termination of the agreement.


10. Intellectual Property

All rights, titles, and interests in the ERP/CRM software, including source code, design, and trademarks, remain the exclusive property of Layra ERP.
Nothing in this agreement transfers ownership of intellectual property to the client.


11. Service Availability and Maintenance

We strive to maintain high availability of the SaaS platform but do not guarantee uninterrupted access.
Scheduled maintenance or technical issues may cause temporary downtime.
We will make reasonable efforts to notify users in advance of planned outages.


12. Limitation of Liability

To the maximum extent permitted by law, Layra ERP shall not be liable for:

  • Any indirect, incidental, or consequential damages

  • Loss of profits, data, or business interruptions

  • Issues arising from third-party integrations or user errors

Our total liability shall not exceed the amount paid by the client for the Services in the last 12 months.


13. Termination

We may suspend or terminate your access to Services if:

  • You breach these Terms

  • You fail to make timely payments

  • We are required to do so by law or regulation

Upon termination, your access will be revoked, but you may request an export of your data within 30 days.


14. Updates and Modifications

We reserve the right to modify these Terms, pricing, or Services at any time.
Changes will be posted on our website, and continued use after modifications constitutes acceptance of the revised Terms.


15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Singapore.
Any disputes shall be subject to the exclusive jurisdiction of the courts located in Singapore.
